Terms of Service

Agreement: These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and PMH Technologies FZ-LLC, a company registered at RAKEZ (Ras Al Khaimah Economic Zone), Ras Al Khaimah, United Arab Emirates, under a RAKEZ commercial license, whose founder and legal representative is Paul-Marie Hamon ("PMH Technologies", "we", "us", or "our"). They govern your access to and use of Readyt, the website at https://www.readyt.ai, and all related software, features, and services (together, the "Service"). By creating an account, subscribing, or otherwise accessing or using Readyt, you confirm that you have read, understood, and accepted these Terms. If you do not agree, you must not use the Service.

Scope: Readyt is a SaaS product that helps founders and businesses grow on Reddit and improve their visibility and citations across AI search engines such as ChatGPT, Claude, Perplexity, and Gemini ("GEO / AI visibility"). These Terms apply to every visitor, registered user, and paying subscriber, and should be read together with our Privacy Policy, which explains how we handle personal data.

(1) Acceptance of Terms

In brief: Using Readyt means agreeing to these Terms in full. Your acceptance is expressed when you tick an acceptance box, click a "Sign up", "Subscribe", or equivalent button, or simply continue to use the Service.

Entire agreement: These Terms, together with our Privacy Policy and any plan-specific or order-specific terms presented to you at checkout, constitute the entire agreement between you and PMH Technologies regarding the Service and supersede any prior understanding on the same subject.

Business use: If you use Readyt on behalf of a company or other legal entity, you represent that you are authorised to bind that entity to these Terms, in which case "you" refers to that entity.

(2) Definitions

Key terms: Throughout these Terms, the following definitions apply:

• "Service" / "Readyt", the Readyt platform, website, applications, APIs, and all associated features and content provided by PMH Technologies.
• "Account", the personal or organisational profile you create to access the Service.
• "Subscription", a paid plan granting access to specified features for a recurring billing period.
• "User Content", any data, text, links, prompts, Reddit account information, or other material you submit to or generate through the Service.
• "AI Outputs", content, suggestions, drafts, or analyses generated by the Service using artificial intelligence or third-party large language models.
• "Reddit", the platform operated by Reddit, Inc., independent of and unaffiliated with PMH Technologies.

(3) Eligibility & Accounts

Minimum age: You must be at least 16 years old to use Readyt. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian. We do not knowingly provide the Service to children under 16.

Accurate information: When you register, you agree to provide accurate, current, and complete information and to keep it up to date. Creating an account with false information, or on behalf of someone else without authorisation, is prohibited.

Account security: You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. You must notify us immediately at support@readyt.ai if you suspect any unauthorised use or security breach. We are not liable for any loss arising from your failure to keep your credentials confidential.

(4) The Service

Purpose: Readyt provides tools to help you plan, publish, and analyse activity on Reddit, and to monitor and improve how your brand is surfaced and cited across AI search engines. Features may include content suggestions, subreddit and keyword insights, scheduling assistance, analytics, and AI-generated drafts.

Evolving product: Readyt is under active development. We may add, modify, suspend, or remove features, plans, or functionality at any time, with or without notice, to improve the Service, comply with legal requirements, or respond to platform changes by Reddit or AI providers.

No guaranteed results: Readyt is a tool, not a guarantee of outcomes. We do not warrant any particular level of growth, engagement, upvotes, ranking, traffic, citations, or visibility on Reddit or any AI search engine. Results depend on many factors outside our control, including your own content, third-party platform algorithms, and Reddit's and AI providers' policies.

(5) Subscriptions, Billing & Refunds

Plans: Access to paid features requires an active Subscription. The features, limits, and prices of each plan are described on our website or at checkout and may change over time.

Payment processor: Payments are processed securely by Stripe. By subscribing, you authorise us and Stripe to charge your chosen payment method for the applicable fees. We do not store your full card details.

Free trial: We may offer a free trial for certain plans. Unless you cancel before the trial ends, your Subscription will automatically convert to a paid plan and your payment method will be charged. Trial terms, including duration and eligibility, are stated at sign-up.

Automatic renewal: Subscriptions renew automatically at the end of each billing period (monthly or annually, as selected) at the then-current price, unless you cancel before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

Price changes: We may change our prices. For active Subscriptions, any price change will apply from the next renewal after we have given you reasonable prior notice by email or in-app. Continuing to use the Service after a price change takes effect constitutes acceptance of the new price.

Taxes: Stated prices may exclude applicable taxes, duties, or levies. You are responsible for any such taxes, except for taxes based on our net income.

Refund policy: Except where required by mandatory law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused features, or downgrades. If you believe you have been charged in error, contact support@readyt.ai and we will review your request in good faith.

(6) Acceptable Use & Reddit Compliance

Your responsibility: You are solely and fully responsible for how you use Readyt and for all activity conducted on Reddit or any other platform through or with the help of the Service, including on your own Reddit accounts.

Follow Reddit's rules: You must at all times comply with Reddit's User Agreement, Content Policy, subreddit rules, and any applicable rate limits or automation restrictions. Readyt must not be used to spam, manipulate votes, engage in vote or comment manipulation, use undisclosed automation where prohibited, impersonate others, evade bans, or otherwise breach Reddit's policies.

Prohibited conduct: You agree not to use the Service to:

• violate any applicable law, regulation, or third-party right;
• send spam, deceptive, misleading, or manipulative content;
• post or distribute unlawful, harmful, hateful, harassing, defamatory, or infringing material;
• attempt to gain unauthorised access to, disrupt, or reverse engineer the Service or its infrastructure;
• circumvent usage limits, security measures, or access controls;
• resell, sublicense, or provide the Service to third parties except as expressly permitted.

Bans are your risk: You acknowledge and expressly agree that any suspension, restriction, shadow-ban, or permanent ban of your Reddit account(s), or any account on any other third-party platform, is your sole responsibility. Compliance with Reddit's rules is your obligation, not ours, and PMH Technologies is not liable for any account action taken against you by Reddit or any other platform, however it arises.

(7) Reddit Disclaimer

Independent product: Readyt is an independent product operated by PMH Technologies FZ-LLC. It is not affiliated with, sponsored by, endorsed by, or otherwise associated with Reddit, Inc. "Reddit" and related marks are the property of their respective owners and are used only for descriptive and interoperability purposes.

No authority over Reddit: We have no control over Reddit's platform, policies, algorithms, or enforcement decisions. Your use of Reddit is governed by your own agreement with Reddit, Inc., and you remain responsible for your Reddit accounts and content.

(8) Intellectual Property & Licence

Our IP: The Service, including its software, source code, design, user interface, text, graphics, logos, trademarks, and all related intellectual property, is owned by PMH Technologies or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership in the Service to you.

Licence to you: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own internal business or personal purposes during the term of your Subscription.

Restrictions: You may not copy, modify, distribute, sell, lease, sublicense, publicly display, or create derivative works from the Service, nor remove or alter any proprietary notices, except as expressly permitted by these Terms or applicable law.

(9) Your Content & Data

You keep ownership: You retain all rights, title, and interest in and to your User Content. We do not claim ownership of the content you submit to or generate through the Service.

Licence to operate the Service: You grant PMH Technologies a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display your User Content solely to the extent necessary to provide, maintain, secure, and improve the Service, and to comply with legal obligations. This licence ends when you delete the relevant User Content or close your Account, except where retention is required by law or for legitimate business records.

Your responsibility for content: You represent that you have all rights necessary to submit your User Content and that it does not infringe any third-party rights or violate any law. You are responsible for maintaining your own backups of any content you consider important.

Personal data: Our processing of personal data is described in our Privacy Policy. Where we act as a processor of personal data you upload, we process it only on your documented instructions and in accordance with applicable data protection law.

(10) Third-Party Services & AI Outputs

Third-party services: The Service relies on and integrates with third-party providers, including Vercel (hosting), Supabase (database and authentication), Stripe (payments), analytics providers, Loops (email), cal.com (scheduling), and AI/LLM providers including OpenAI, Anthropic, Perplexity, and Google. Your use of certain features may be subject to those providers' own terms, and we are not responsible for their acts, omissions, or availability.

AI Outputs may be inaccurate: AI Outputs are generated automatically and may be incomplete, inaccurate, outdated, biased, or otherwise unsuitable. They do not constitute professional, legal, financial, or other advice. You are responsible for reviewing, verifying, and deciding whether and how to use any AI Output, and you use it at your own discretion and risk.

No endorsement: References to third-party platforms, tools, or content within the Service do not imply any endorsement or partnership unless expressly stated.

(11) Disclaimer of Warranties

"As is": The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, timely, secure, or error-free.

No performance guarantee: To the fullest extent permitted by law, we expressly disclaim any warranty or representation that use of the Service will produce any specific growth, engagement, ranking, traffic, citations, or visibility on Reddit or any AI search engine. Any such results are inherently uncertain and depend on factors outside our control.

Jurisdictional note: Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you; in that case, such warranties are limited to the minimum extent permitted by law.

(12) Limitation of Liability

Excluded damages: To the fullest extent permitted by applicable law, PMH Technologies, its founder, and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or Reddit or other platform accounts, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

Liability cap: To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you actually paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

Basis of the bargain: These limitations reflect the allocation of risk between us and are an essential basis of the bargain. They apply regardless of the theory of liability and survive termination of these Terms.

(13) Indemnification

Your indemnity: You agree to defend, indemnify, and hold harmless PMH Technologies FZ-LLC, its founder, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms or any applicable law; (d) your breach of Reddit's User Agreement or any third-party platform's rules; or (e) any action taken against your Reddit or other accounts. We reserve the right to assume the exclusive defence of any matter subject to indemnification, in which case you agree to cooperate with us.

(14) Suspension & Termination

By you: You may stop using the Service and cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and no further charges will be made thereafter.

By us: We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we reasonably believe that you have breached these Terms, engaged in unlawful or abusive conduct, created risk or legal exposure for us, failed to pay applicable fees, or where required to comply with law or a request from a third-party provider.

Effect of termination: Upon termination, your right to use the Service ceases immediately. We may delete or anonymise your Account and User Content in accordance with our data retention practices, subject to any legal retention obligations. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply.

(15) Governing Law & Dispute Resolution

Governing law: These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Ras Al Khaimah, without regard to conflict-of-law principles.

Jurisdiction: Subject to any mandatory consumer protection rights available to you in your country of residence, you agree that the competent courts of Ras Al Khaimah, United Arab Emirates, will have jurisdiction to resolve any dispute arising out of or relating to these Terms or the Service.

Informal resolution: Before starting any formal proceedings, we encourage you to contact us first at legal@readyt.ai so we can try to resolve the matter amicably.

(16) Changes to These Terms

Updates: We may update these Terms from time to time to reflect changes in the Service, our business, or legal requirements. When we make material changes, we will update the "Last Updated" date below and, where appropriate, notify you by email or through the Service.

Your acceptance: Changes take effect when posted, unless a later effective date is stated. By continuing to access or use the Service after the updated Terms take effect, you accept the revised Terms. If you do not agree to the changes, you must stop using the Service and may cancel your Subscription.
